1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WEBBOOST ONLINE ADVERTISING PRIVATE LIMITED ("WEBBOOST", "we", "our", or "us", CIN: U73100UT2026PTC021271). By accessing or using our website webboostads.com or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

WEBBOOST provides digital marketing and advertising services including, but not limited to:

• Search Engine Optimisation (SEO)
• Pay-Per-Click (PPC) & Paid Advertising
• Social Media Marketing & Management
• Website Design & Development
• Content Marketing & Copywriting
• Email Marketing Campaigns

Specific deliverables, timelines, and payment terms for any engagement will be defined in a separate Service Agreement or Statement of Work signed by both parties.

3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, current, and complete information as required.
• Grant necessary access to platforms, accounts, and assets in a timely manner.
• Review and approve content, reports, and deliverables within agreed timelines.
• Ensure that all materials provided to us (logos, copy, images) do not infringe any third-party intellectual property rights.

4. Fees and Payment

Fees for our services are as specified in your Service Agreement. Unless otherwise agreed in writing:

• Invoices are payable within 15 days of the invoice date.
• Late payments may attract interest at 1.5% per month.
• We reserve the right to pause or suspend services in the event of non-payment.
• Retainer fees are non-refundable once work for the billing period has commenced.

5. Intellectual Property

Upon receipt of full payment, all creative work specifically produced for you under a Service Agreement (designs, copy, campaigns) becomes your property. WEBBOOST retains ownership of pre-existing tools, methodologies, templates, and processes used in delivering services.

You grant WEBBOOST a non-exclusive, royalty-free licence to use your name, logo, and results for portfolio and case study purposes, unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose such information to third parties without prior written consent, except as required by law.

7. Performance Disclaimers

Digital marketing results depend on numerous factors outside our control, including search engine algorithm changes, market competition, and platform policy updates. While we strive to achieve agreed-upon KPIs, WEBBOOST does not guarantee specific rankings, traffic levels, or revenue outcomes. Projections and forecasts shared are estimates only.

8. Limitation of Liability

To the maximum extent permitted by applicable law, WEBBOOST's total liability to you for any claim arising out of or related to these Terms or the services shall not exceed the amount you have paid us in the three months immediately preceding the event giving rise to the claim.

In no event shall WEBBOOST be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

9. Termination

Either party may terminate a Service Agreement with 30 days' written notice. Upon termination, you remain liable for fees for work completed up to the termination date. WEBBOOST will transfer all completed deliverables to you upon receipt of outstanding payments.

10. Acceptable Use

You agree not to use our website or services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Transmit spam, malware, or other harmful content.
• Engage in deceptive, fraudulent, or misleading advertising practices.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Dehradun, Uttarakhand, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified by updating the "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
